    Trade Secrets

    Tennessee has adopted the Uniform Trade Secrets Act (UTSA).

    The Tennessee Uniform Trade Secrets Act (TUTSA) has an enhanced definition of trade secrets, inclusive of nontechnical or financial data. Therefore, Tennessee offers greater protection of trade secrets than many other states.

    However, to ensure protection under the law, an employer must show that reasonable attempts have been made to safeguard trade secrets. Employee contracts, non-disclosure agreements and physical security measures are necessary. Dedicated security protocol should be in place to demonstrate that viable attempts have been made to guard the confidential information.
