Summary

This Written Consent of the Managers (CA LLC) template is intended for use by the managers of a California limited liability company (LLC) to take action without the need to vote at a meeting. Under California law, an LLC may be managed by managers if the company's articles of organization provide a statement to that effect. Cal Corp Code § 17704.07(a) and Cal Corp Code § 17702.01(b)(5). This template includes practical guidance and drafting notes. This template assumes that action by written consent of the managers is permitted by the company's operating agreement, which governs the rights and duties of managers. Cal Corp Code § 17701.10(a)(2). It includes the appropriate introductory language and general authority resolutions; the relevant operative resolutions and any corresponding recitals can be inserted where indicated.
