Summary
This website linking permission agreement template grants a license to place a hypertext link to another party's website. This is a long form agreement and may be used for a complex linking arrangement. This template includes practical guidance and drafting notes. "Hypertext" linking refers to the coding of a word or a phrase in an electronic document (such as a web page or an e-mail message) so that, when clicked on, a user is automatically taken to either a different document or another part of the same document. Hypertext is generally distinguished from adjacent normal text using contrast (i.e., with respect to color or font, etc.). This template is drafted in favor of the website owner and contemplates: ● commercial linking (i.e., when one website owner is providing another website owner with compensation to include links to its site to increase traffic and/or sales); and ● deep-linking (i.e., adding links that take the user to a part of the website owner's site beyond its homepage, thereby potentially bypassing the Website's notices, privacy policies, advertising, and/or other terms and conditions). In addition, this agreement includes a license to exploit the owner's intellectual property (i.e., trademarks or tradenames).
