Summary

This Waiver of Notice of Meeting of Shareholders (CA Corporation) template may be used in connection with a meeting of shareholders of a California corporation. This template includes practical guidance and drafting notes. Whenever shareholders of a California corporation are required or permitted to take any action at a meeting, a written notice of the meeting must be given not less than 10 (or, if sent by third-class mail, 30) nor more than 60 days before the date of the meeting to each shareholder entitled to vote at the meeting. Cal. Corp. Code § 601(a). Notice may be waived by providing a waiver of notice or consent to the holding of the meeting or an approval of the minutes thereof in writing, either before or after the meeting. Cal. Corp. Code § 601(e). This template may be used to provide such written waiver and should be provided by any shareholders waiving formal notice of the meeting. Note that any waivers, consents, and approvals should be filed with the corporate records or made a part of the minutes of the meeting. Cal. Corp. Code § 601(e). Attendance at a meeting will also constitute a waiver of notice, unless the person objects, at the beginning of the meeting, to the transaction of any business because the meeting is not lawfully called or convened. Further, attendance at a meeting is not a waiver of any right to object to the consideration of matters required to be included in the notice but not so included, if the objection is expressly made at the meeting.
