Summary
This unilateral confidentiality agreement is a short form for use where only one of the parties will be disclosing confidential information in connection with a commercial transaction in Washington. This template includes practical guidance, drafting notes, and alternate and optional clauses. This one-way confidentiality agreement protects the information of the disclosing party. This template contains only basic provisions regarding the disclosure of confidential information and has been drafted with terms that favor the disclosing party. When it is anticipated that all or most of the confidential information will be provided solely by one of the parties to a transaction, a unilateral confidentiality agreement usually makes the most sense.
