Summary

This practice note addresses implied warranties under Article 2 of the Uniform Commercial Code (UCC), including what implied warranties are imposed, their significance, and how a seller of goods can disclaim implied warranties. The two implied warranties set forth in the UCC are the implied warranty of merchantability and the implied warranty of fitness for a particular purpose. Although not designated as implied warranties, the UCC also imposes a warranty of good title and against infringement, which are also discussed herein.
