Summary

This practice note explains the use of a unanimous member agreement under the Canada Not-for-profit Corporations Act, the purpose of which is to restrict, in whole or part, the powers of the directors. As well, it outlines other items such as who may be party to, the effect of, and the scope and subject matter of such agreement.
