Summary

These third party beneficiaries clauses can be used in a commercial contract governed by Minnesota law to define or disclaim third party beneficiary rights with respect to an agreement. This template includes practical guidance and drafting notes. Generally, only contracting parties may enforce their rights under an agreement even though the contract may benefit certain non-party individuals or entities (i.e., "third party beneficiaries"). Under certain circumstances, however, third party beneficiaries may enforce an agreement under Minnesota law. This template includes clauses that allow contracting parties to expressly specify whether non-parties are entitled to benefit from or enforce the agreement, and also includes a clause with the option to carve out exceptions for certain third party beneficiaries or rights.
