Testimonium Clause
Summary
This clause on testimonium, also known as an execution clause, links the main body of a contract with the signature block. This clause contains practical guidance and drafting notes. The testimonium clause evidences the fact that the agreement has been executed and states the date on which the parties intend the agreement to be executed or effective. It is good practice to specifically mention any schedule, annex and exhibit to ensure it is brought within the compass of the agreement.
