Termination Assistance Clauses (Outsourcing)
Summary
These clauses are termination assistance that sets out all necessary assistance including knowledge transfer, as may be reasonably required by the Customer, to be provided by the Supplier to the Customer to complete the transition of all or part of the Services from the Supplier to a third party designated by the Customer or to the Customer in connection with the expiry or termination of this Agreement in whole or in part. These clauses include practical guidance and drafting notes. The key concern of the customer when the agreement comes to an end is to ensure a smooth transition to the successor supplier or back to the customer. These clauses place obligations on the supplier to help the customer achieve this. The duration of the termination assistance period should be sufficient to allow for a smooth exit with some degree of contingency.
