Summary

This successors and assigns clause may be used in a commercial contract governed by Virginia law to bind a party's successors or assigns to the terms and conditions of the contracting parties' agreement. This clause includes practical guidance and drafting notes. A successors and assigns clause is a fixture in contract drafting. It addresses questions relating to the relationship between the nonassigning party and the assignee. Note, however, that it does not serve any more purpose beyond what the law otherwise provides.
