Subscription Agreement


Summary

The subscription agreement is the contract between an investor and the fund under which the investor commits to contribute to the fund an amount up to its total Capital Commitment. The investor makes various representations and warranties to the fund as required for the fund's reliance on a private placement exemption under the Securities Act of 1933 and exemption under Sections 3(c)(1) or 3(c)(7) of the Investment Company Act of 1940, as well as attests to other investor qualifications. Technically, the subscription agreement is one of several documents which make up the subscription documents, consisting additionally of various schedules and forms which support the representations made in the subscription agreement.
