Stock Certificate Transmittal Letter

Summary
This template may be used to draft a letter from the issuer in a public equity offering to the underwriters to (1) confirm the delivery of the stock certificates and (2) request confirmation of receipt of such certificates. This template includes practical guidance and drafting notes. The letter of transmittal for stock certificates along with the letter of company’s receipt of offering proceeds (memorializing the transfer of funds from the underwriters to the company) are often combined in a form of cross-receipt. This transmittal letter may be used for an initial public offering (IPO) or a follow-on offering (i.e., an offering conducted by an issuer following its IPO).
