Summary

Issuers conducting an offering of a Covered Security pursuant to Rule 506 (17 C.F.R. § 230.506) are not required to register the offered securities with state regulators. However, state blue sky rules require the issuer, in almost all cases, to provide each state in which the securities will be offered with notice of the offering in the form of a notice filing.
