Summary

The parties executed an agreement which contained a covenant not to compete in which the agent essentially promised that, for one year following termination of the agreements, it would not induce customers to choose the services of a company competitor, nor otherwise sell or promote services offered by the company's competitors. However, disagreements arose between the agent and the company over compensation, and the agent notified the company that its stores would become "multi-line" stores, offering the services of company competitors. The company immediately sought and received and injunction to enjoin the agent from misappropriating trade secrets and from violating the contractual covenant not to compete. The appellate court agreed with the trial court that the company had a protectible interest in the information contained in its agent compensation plans and bid proposals, although its interest in those items was not as strong or as apparent as its interest in its customer list. ...
