(SaaS) Evaluation Agreement (Long Form)


Summary

This template is a long form SaaS evaluation agreement granting a customer the non-exclusive right to evaluate a SaaS offering during a trial period. The agreement contemplates a provider that is the sole owner of the SaaS. This template includes practical guidance, drafting notes, and alternate and optional clauses. Similar to a streaming service, access to SaaS services is provided over the internet. In this form of cloud computing, service providers permit customers, including businesses and individuals, to access and use the licensed software over the internet for a subscription fee. Given the complexities and risks involved in SaaS services and cloud computing generally, customers often evaluate the service's suitability for their needs prior to purchase. This trial enrollment agreement sets forth the terms and conditions of a time-limited evaluation, allowing a customer to beta test the services before entering into a full SaaS licensing agreement.
