Smaller Reporting Companies: Disclosure and Reporting Requirements


Summary

This practice note discusses the class of public companies known as smaller reporting companies (SRCs). It covers the following: (1) what is a smaller reporting company; (2) how and when a company's status as an SRC is determined; (3) the scaled disclosure obligations of SRCs under the federal securities laws, including when transitioning to or from SRC status; (4) proposed amendments to the definition of SRC that would expand significantly the number of public companies that would qualify as SRCs.
