This template Shareholders' Meetings Script (Special Meeting) (FL Corporations) provides a script for a special meeting of the shareholders of a Florida corporation. This template includes practical guidance and drafting notes. Special shareholders’ meetings may be held in or outside of Florida at a location stated or fixed in accordance with the bylaws or, when not inconsistent with the bylaws, in the notice of the special meeting. Fla. Stat. § 607.0702(2). If no place is stated in the bylaws or meeting notice, the meeting should be held at the corporation’s principal office. Fla. Stat. § 607.0702(2). A special shareholders meeting may be called by the board of directors or the person(s) authorized to call the meeting pursuant to the corporation’s articles or bylaws. Additionally, a special meeting can be called by the holders of at least 10% percent (unless a greater percentage not to exceed 50% is required by the articles), of all the votes entitled to be cast on any issue if they sign, date, and deliver to the corporation’s secretary a written demand for a special meeting. Fla. Stat. § 607.0702(1).
