This checklist provides a quick reference to aid your clients' compliance with the shareholder approval rules for companies listed on the Nasdaq Stock Market (Nasdaq). Companies listed on Nasdaq must obtain prior shareholder approval of certain proposed transactions. These shareholder approval rules, contained in Nasdaq Rule 5635, tend to apply when company conduct may be adverse to existing shareholders, such as when the company is issuing significant additional share capital or voting rights, when the company is transacting with related parties, or when a transaction will result in a change of control.
