Summary

This services agreement sets forth the basic terms and conditions under which a service provider will provide services to a client, and has been drafted with terms that favor the customer receiving the services. This template includes practical guidance, drafting notes, and alternate and optional clauses. The agreement has been drafted broadly and can be used for a variety of services, and should be tailored based upon the services that will be provided and the specific duties and responsibilities negotiated and agreed to by the parties. This is a short form and, therefore, only contains the essential terms of the parties' relationship. You may want to include additional provisions addressing items such as insurance, force majeure, limitation of liability, audit rights, attorney’s fees, survival, notices, and assignment, among others.
