Scrutineers' Report on Election of Directors (Short Form)


Summary

This precedent is a short-form scrutineer's report on the results of an election of directors, detailing the votes cast for candidates. A scrutineer's duties include reporting on attendance, and collecting, examining and tabulating proxies and reporting the results. This precedent has been prepared for use by corporations with share capital. However, for the most part it can be used for non-share-capital corporations by substituting "member" each time there is a reference to "shareholder" or by substituting "number of votes" for "number of shares". While it is not legally required that a scrutineer be appointed, the bylaws often permit the chair, with or without the consent of the meeting, appoint a scrutineer to assist in taking attendance and in counting proxies and ballots. ...
