SBIC Side Letter

This form SBIC Side Letter is to be provided in connection with a pre-seed and/or seed stage financing when a Small Business Investment Company (SBIC) invests in a start-up. This template includes practical guidance and drafting notes. When an investor qualifies as a SBIC under the Small Business Investment Act of 1958, as amended, the SBIC will require that the start-up provide special representations and/or closing conditions to ensure compliance with federal regulations applicable to SBICs.
