Rule Revising Hart-Scott-Rodino (HSR) Filing Requirements Now In Force


Summary

This client alert digest discusses the final rule issued by the Federal Trade Commission (FTC) governing the information that must be submitted to the antitrust agencies as part of a Hart-Scott-Rodino (HSR) Improvements Act pre-merger notification filing (the Final Rule). The Final Rule (available on the FTC's website) substantially overhauls HSR filing requirements, represents the most significant changes to the HSR filing regime since the HSR Act was enacted over 45 years ago, and will significantly increase the burden on parties submitting HSR filings to the FTC and Antitrust Division of the Department of Justice (DOJ). The Commission voted unanimously in favor of the Final Rule, with the concurrence of the DOJ, and became effective on February 10, 2025.. All HSR filings are now subject to the new requirements.
