Summary

This restated certificate of formation (TX corporation) template may be used by a Texas corporation to restate its formation document. This template includes practical guidance and drafting notes. This template can be used to restate the certificate of formation of a Texas for-profit corporation, to either: (1) combine all previous amendments made to the existing certificate of formation into a single, consolidated version; or (2) combine all previous amendments made to the existing certificate of formation together with any new amendments being made at the time of the restatement into a single, consolidated version. This template is designed for a for-profit corporation and complies with Tex. Bus. Orgs. Code § 3.059.
