Request for Consent to Change of Control

Summary

This request for consent to change of control letter can be used by a party to a commercial contract when the agreement requires that the party provide notice to and obtain consent from other party before undergoing a change of control event. This template includes practical guidance, drafting notes, and alternate clauses. This template is controlled by the terms of the underlying agreement. In drafting the letter, counsel will rely on the underlying agreement and other material contracts to determine whether a party is subject to a consent requirement, whether an event triggers the consent requirement, the proper individual or department from whom to seek consent, and the standard for consent, if given in the underlying agreement.
