Regulation FD Applicability Checklist


Summary

This checklist may be used to determine whether a company may be implicated by the disclosure of material nonpublic information under Regulation FD. The purpose of Regulation FD is to prevent issuers from selectively disclosing material nonpublic information to certain persons outside the company who may unfairly trade on the information before it becomes public. Regulation FD applies to U.S. issuers that have a class of securities registered under Section 12 of the Securities Exchange Act of 1934, as amended (Exchange Act) or who are required to file reports under Section 15(d) of the Exchange Act, including closed-end investment companies.
