Summary

This practice note provides an overview and recent updates of Regulation A of the Securities Act of 1933, as amended (the Securities Act) (also known as Regulation A+), which was enacted in the JOBS Act (112 P.L. 106) (JOBS Act). Congress instructed the Securities and Exchange Commission (SEC) to issue new rules to increase the cap on Regulation A offerings and resolve other issues holding back the use of Regulation A in Title IV of the JOBS Act. On March 25, 2015, the SEC formally adopted final rules governing, what has come to be known as, Regulation A+.
