Summary
This practice note provides an overview and recent updates of Regulation A of the Securities Act of 1933, as amended (the Securities Act) (also known as Regulation A+), which was enacted in the JOBS Act of 2012 (112 P.L. 106) (JOBS Act). Congress instructed the Securities and Exchange Commission (SEC) to issue new rules to increase the cap on Regulation A offerings and resolve other issues holding back the use of Regulation A in Title IV of the JOBS Act. On March 25, 2015, the SEC formally adopted final rules governing what has come to be known as Regulation A+.
