A company that (1) wishes to list its securities on a national securities exchange or (2) has assets exceeding $10 million and a class of equity security that is widely held, must register the securities under the Securities Exchange Act of 1934, as amended (Exchange Act) (15 U.S.C. § 78a et seq.).
