Registered Offering Expenses


Summary

This practice note discusses the types of expenses commonly incurred by an issuer in conducting a registered offering of securities under the Securities Act of 1933, as amended (Securities Act). The primary offering expenses include underwriters' compensation, legal and accounting expenses, printing costs, the filing fees of the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority, Inc. (FINRA) , and the listing fees of any national securities exchange on which the offered securities will be listed. This practice note concludes with a short discussion of the additional types of expenses that the issuer will incur as a reporting company under the Securities Exchange Act of 1934, as amended (Exchange Act).
