Summary

This practice note sets out the main principles of interpretation for recital clauses in a contract. Recital clauses set out pertinent facts or circumstances at the beginning of a contract in order to express the context in which the agreement has arisen and the purpose the parties are seeking to achieve. This practice note discusses the former interpretative approach as well as the modern approach to the use of recitals in the interpretation of contracts.
