Real Estate Provisions in Corporate and M&A Transactions

Summary

This practice note discusses key real estate provisions typically found in transaction agreements for asset purchase, stock purchase, and merger transactions (referred to here as M&A transactions) and explains important differences between these agreements and traditional real estate purchase and sale agreements. To the extent that these differences tie into differences between diligence practices in real estate and M&A transactions, due diligence is also addressed. For a full discussion of real estate due diligence in an M&A transaction, see Real Estate Due Diligence in Corporate and M&A Transactions.
