This form check checklist may be used when preparing a proxy statement as required by Section 14(a) (15 U.S.C. § 78n) of the Securities Exchange Act of 1934, as amended (Exchange Act) and pursuant to Regulation 14A (17 C.F.R. §§ 240.14a-101–240.14b-2) and Schedule 14A (17 C.F.R. § 240.14a-101) thereunder, which each contain detailed procedural and substantive disclosure requirements for the solicitation of proxies from shareholders. This checklist includes a table that sets forth the items required to be included in the proxy statement along with columns for the source of the requirement, notes by the user, and practical guidance that you may use in preparing a proxy statement for your client.
