Pricing/Fees Clauses

Summary

This form contains pricing and fees clauses that provide variations for pricing and fees terms in a commercial contract. This template includes practical guidance and drafting notes. It is not necessary to establish a price in the contract. Unlike the quantity term, an open price term is not fatal to the existence of a valid contract in order for the contract to be legally enforceable. The clauses in this form address various situations in which price may be set forth or determined. For more information on pricing, see Price Considerations. For related clauses, see Sale Price of Goods Clauses.
