Summary

This template is a pre-dissolution plan of dissolution for a Pennsylvania corporation, to be used before the filing of articles of dissolution. It includes practical guidance and drafting notes. Under Pennsylvania law, there are two different procedures for voluntary dissolution: (1) a pre-dissolution procedure pursuant to Section 1975 of Pennsylvania’s Business Corporation Law (BCL), which provides for settlement of liabilities and related winding-up activities prior to filing articles of dissolution, and (2) a post-dissolution procedure pursuant to Subchapter H of the BCL, which provides for settlement of liabilities and related winding-up activities after filing articles of dissolution. This template plan of dissolution can be used if the corporation has elected the pre-dissolution procedure.
