Powers of Attorney


Summary

This practice note discusses powers of attorney in financing transactions. Generally speaking, a power of attorney is a legal instrument wherein an individual (the Principal) authorizes another individual (the Agent) to make certain decisions or act on the Principal’s behalf. A power of attorney can authorize the Agent to act on a wide range of matters (anything and everything necessary to close a transaction) or can be narrowly tailored (only specifically delineated tasks).
