Platform as a Service (PaaS) Agreement


Summary

This template is a platform as a service (PaaS) agreement in which modular bundles comprising a computing platform and one or more applications are supplied by a cloud platform provider. This template includes practical guidance and drafting notes. The modular bundles can be provisioned, instantiated, run, and managed by customers, without the need or complexity of building and maintaining the associated infrastructure. Access to the platform service is provided over the internet, allowing customers use of the services for a fee. Counsel should note that PaaS agreements come with many of the same risks as other forms of outsourcing, including risks associated with service continuity, protection of customer data, and privacy laws. Therefore, negotiation of PaaS agreements, both generally and with a view to obtain a balanced allocation of risk, is strongly recommended.
