Summary
This template plan of dissolution is intended for use by a Colorado corporation for the board of directors to approve a voluntary dissolution of the corporation. This template includes practical guidance, drafting notes, and an alternate clause. Once the board of directors has determined that the corporation should dissolve and approved this plan, the dissolution must be approved by the shareholders of the corporation in accordance with Colo. Rev. Stat. § 7-114-102. Once approved, the corporation can begin winding up its affairs.
