Summary

This is a template plan of conversion for use in connection with the statutory conversion of a Delaware limited liability company to a Delaware corporation. This template includes practical guidance and drafting notes. This template contemplates that the managing members of the LLC will approve and sign the plan of conversion before filing a certificate of conversion with the Delaware Secretary of State. See 6 Del. C. § 18-214 for more information on statutory conversions under the Delaware Limited Liability Company Act.
