Notice of Assignment

Summary

This notice of assignment letter can be used by a party to a commercial contract to provide notice to the other party of its assignment of its rights or performance under the contract to a third party. This template includes practical guidance, drafting notes, and alternate and optional clauses. Counsel should review the underlying agreement. This template presumes that consent is not required for assignment and that the entire agreement is being assigned. The underlying agreement should also provide confirmation of the proper individual or department to whom the notice is sent.
