Summary

This is a mutual non-disclosure agreement template for use by two pharmaceutical companies and recognizes that the disclosure of confidential and proprietary information is necessary to the pursuit of a business opportunity, and imposes mutual obligations to protect such information upon the parties. This template includes practical guidance, drafting notes, and an alternate clause. In drafting this template, parties may also want to consider including confidentiality obligations of the parties and non-solicitation agreements. In any event, parties should solicit counsel to assess their agreement and ensure that all covenants by the parties are included and put into writing.
