Memorandum of Association

Summary
For a hedge fund organized as an offshore corporation, such as a Cayman Islands limited company, the Memorandum of Association is the basic formation document that sets forth essential matters such as the hedge fund's name, registered address, and business purpose. It is very much a standard form document. The Memorandum is filed with the local authority charged with keeping a registry of company formations (in this case, the Cayman Islands Government General Registry). As a collective investment vehicle or "mutual fund" under Cayman law, there would also be filings made with the Cayman Islands Monetary Authority, the main financial regulator.
