Member Resolutions (Voluntary Dissolution) (BC Societies Act)


Summary

This precedent is a written resolution of the members of a British Columbia society to authorize the voluntary dissolution under the British Columbia Societies Act, S.B.C. 2015, c. 18 ("BCSA") and to determine the recipient of the society's assets. This precedent includes practical guidance, alternate clauses and drafting notes. Under the BCSA, the members' must authorize the dissolution of a society by an ordinary resolution and, unless set in the bylaws, determine the recipient(s) of the society's remaining assets. A copy of the ordinary resolution and the affidavit of the director(s) referred to in s. 126(3)(b) of the BCSA must be filed with the registrar at the same time that the dissolution by request application is filed (BCSA, s. 126(3)). However, the dissolution form currently does not require the affidavit or resolution to be filed.
