Master Services Agreement (Pro-Customer)


Summary

This precedent is a master services agreement that favours the customer and can be used in outsourcing services. It contains the general terms and conditions of the parties' working relationship, but does not address all of the specific services that will be performed to allow the parties to address and agree upon additional services that can be added over time through subsequent statements of work (SOWs). This precedent includes practical guidance, drafting notes, an alternate clause, and optional clauses. When adding services over time, the parties do not have to renegotiate or address the basic terms of the engagement that are contained in the master services agreement and can merely execute subsequent SOWs.
