Summary
Plaintiff employer filed a declaratory judgment case against defendant employee for a determination that he was not entitled to incentive compensation from it regarding a transaction he had helped to facilitate and where the assets bought had been transferred to a subsidiary. He counter-sued and asserted he was entitled to such compensation under an incentive agreement. The trial court granted its summary judgment motion. The appellate court found that he did not show a genuine, triable issue existed about whether the subsidiary became the employer's client and generated fee revenue for it.
