Summary

This is a template for a limited proxy (TX corporation) that may be used when a shareholder in a corporation wants to appoint a proxy to vote his or her shares at a designated shareholders' meeting. This template includes practical guidance and drafting notes. The shareholder can either direct how the proxy will vote on specific matters at the meeting and/or provide general authorization for the proxy to use his or her best judgment when voting at the meeting.
