Summary
This limitation of liability clause template may be used in a commercial agreement governed by Ohio law. This clause manages risks and potential liability by capping the amount and/or limiting the type of damages recoverable in the event a claim is made against one of the parties to the contract. This template includes practical guidance and drafting notes. A limitation of liability clause can be used to exclude one or both parties' liability for specific types of damages, such as indirect, consequential, and incidental, among others. It can also include a liability cap. This template is unilateral and only protects one of the contracting parties.
