This checklist is a general guideline of relevant issues lender's counsel should consider when reviewing acquisition documents in connection with an acquisition financing. While lender's counsel will focus primarily on negotiating the financing commitment letter with the borrower, they must also assess the acquisition agreement simultaneously being negotiated between the borrower, as buyer, and the seller of the target company.
