This practice note discusses rules and best practices relating to public companies who file a periodic report late. Failure by a company to file a periodic report (Form 10-K or Form 10-Q) as required by the Securities Exchange Act of 1934, as amended (Exchange Act), by the filing deadline, renders the company a "non-timely" filer for the next 12 months.
