Summary

Each assignee or transferee shall be deemed to have assumed all obligations of Tenant under this Lease and shall be and remain liable jointly and severally with Tenant for the payment of Base Rent and all other charges and payments for which Tenant is responsible hereunder, and for the performance of all of the terms, covenants, conditions and agreements contained herein on Tenant’s part to be performed for the term of this Lease; provided, however, that the assignee or transferee shall be liable to Landlord for rent only in the amount set forth in the assignment or transfer. No assignment shall be binding on Landlord unless such assignee or Tenant shall deliver to Landlord a counterpart of such assignment or transfer and an instrument in recordable form that contains a covenant of assumption by the assignee satisfactory in substance and form to Landlord, consistent with the above requirements. But the failure or refusal of the assignee or transferee to execute that instrument of assumption shall not release or discharge the assignee or transferee from its liability.
