Summary
An investor rights agreement is one of the main transactional documents in a venture capital equity financing. This agreement memorializes the understanding between a company and some of or all its investors. An investor rights agreement typically includes registration rights, right of first offer (or other rights to participate in future equity offerings by the company, including pre-emptive and pro-rata rights), information rights, and a market stand-off or lock-up provision, and may include additional covenants by the company.
